Terms of Service
DRAFT for counsel review. Not yet in effect. Version 0.1, 21 October 2026.
These Terms of Service (the "Terms") govern access to and use of SotialMedia, the social publishing service available at https://sotialmedia.com and through its API (the "Service"), operated by DataHubz ("DataHubz", "we", "us"), a company located in Colorado Springs, Colorado, USA. By creating an account, accepting an invitation, or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent ("Customer", "you").
1. The Service
SotialMedia lets organizations connect social media accounts they are authorized to manage, compose and approve content, schedule publication, and review the outcome and history of each publication. The Service is provided through a web console and a REST API. DataHubz may add, change or remove features; material reductions in functionality will be announced at least 30 days in advance except where required by a third-party platform or by law.
2. Accounts, organizations and workspaces
- You must provide a valid email address and keep it current. Sign-in is by one-time links sent to that address, and multi-factor authentication is required for administrative roles.
- An organization is the billing and security boundary. A workspace belongs to one organization and holds that client's or brand's accounts, content and history.
- You are responsible for the people you invite, the roles you assign, and all activity under your organization. Notify support@sotialmedia.com immediately of any unauthorized use.
- Agencies that manage workspaces of other organizations are additionally bound by the Agency Delegation Terms.
3. Connected accounts and authorization
- You may connect a social media account only if you are its owner or hold written authorization from the owner to publish on its behalf. You must keep that authorization on file and provide it to us on request.
- Connecting an account grants the Service a platform authorization (for example an OAuth token) limited to the scopes shown on the platform's consent screen. We store such credentials encrypted and use them only to perform actions you or your authorized users request.
- You may disconnect an account at any time. Disconnection revokes the platform authorization where the platform supports it, discards the stored credential, and cancels publications that have not yet been published.
- Your use of each platform remains subject to that platform's own terms and policies, including X's developer and automation policies. If a platform changes its terms, pricing or availability, the corresponding features of the Service may change or become unavailable without liability to DataHubz.
4. Your content
- You retain all rights in content you submit. You grant DataHubz a non-exclusive, worldwide license to host, store, process, transmit and display your content solely to provide the Service, including transmitting it to the platforms you direct.
- You represent that you have the rights needed to publish your content and that it complies with the Acceptable Use Policy and the policies of the destination platform.
- The Service publishes only content that your authorized users have composed and, where your workspace requires it, approved. DataHubz does not generate, rewrite or select content for publication.
5. Acceptable use
The Acceptable Use Policy is part of these Terms. DataHubz may suspend an organization, a workspace or a connected account, or hold scheduled publications, when it reasonably believes the Policy or a platform policy is being violated, when a platform or account owner requests it, or when necessary to protect the Service or other customers. We will notify you and work with you to restore access where possible.
6. API and integrations
- API keys are issued per organization and may be scoped to a workspace. You are responsible for keeping keys confidential and rotating them when needed.
- The API is versioned. We will support a version for at least 12 months after announcing its deprecation. Rate limits and quotas apply per organization and per connected account and are described in your plan.
- Webhook deliveries are signed. You are responsible for verifying signatures and for the security of your receiving endpoints.
7. Publication reliability
DataHubz uses scheduling, bounded retries and reconciliation to publish content at the requested time and to avoid duplicate publication. Because third-party platforms do not guarantee delivery or offer idempotent publishing, DataHubz does not guarantee that any publication will occur, occur on time, or occur exactly once. Where the outcome of a publication cannot be confirmed, the Service marks it for your review rather than republishing automatically. Service level commitments, if any, are stated in your order form and are based on measured results from the pilot.
8. Fees
Fees, plans and limits are stated in your order form or in the console. Pilot pricing is provided on request. Fees are invoiced in advance for subscriptions and in arrears for metered usage, are exclusive of taxes, and are payable within 30 days of invoice unless the order form says otherwise. Overdue amounts may lead to suspension after 15 days' written notice. Third-party platform charges attributable to your usage (for example per-request API pricing) may be passed through as stated in your order form.
9. Term, suspension and termination
- These Terms apply from first use until the organization is deleted. Subscriptions renew as stated in the order form.
- Either party may terminate for material breach not cured within 30 days of written notice. DataHubz may suspend immediately under section 5.
- On termination you may export your data for 30 days, after which it is deleted as described in the Data Retention and Deletion Policy. Connected account credentials are discarded on termination.
10. Confidentiality and security
Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these Terms. DataHubz maintains technical and organizational measures described in the Privacy Policy, including tenant isolation, encryption of platform credentials, audit logging and incident response procedures. DataHubz will notify you without undue delay, and in any case within 72 hours of confirmation, of a security incident affecting your data.
11. Data protection
The Privacy Policy describes how DataHubz processes personal data. Where DataHubz processes personal data on your behalf, the parties will enter into a data processing agreement on request. The current list of subprocessors is published at /legal/subprocessors.
12. Intellectual property
DataHubz and its licensors own the Service, including its software, design and documentation. Nothing in these Terms transfers that ownership. You may not copy, modify, reverse engineer or create derivative works of the Service except as permitted by law. Feedback you provide may be used by DataHubz without obligation.
13. Warranties and disclaimers
Except as expressly stated in these Terms or an order form, the Service is provided "as is" and DataHubz disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. DataHubz does not control third-party platforms and makes no warranty about their availability, policies or conduct.
14. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from these Terms. Each party's total liability arising from these Terms is limited to the fees paid or payable by Customer to DataHubz in the 12 months before the event giving rise to the claim. These limits do not apply to a party's breach of section 10, to indemnification obligations, or to liability that cannot be limited by law.
15. Indemnification
You will defend and indemnify DataHubz against third-party claims arising from your content, your connection of accounts without authorization, or your breach of the Acceptable Use Policy or a platform's terms. DataHubz will defend and indemnify you against third-party claims that the Service, as provided by DataHubz, infringes a United States patent, copyright or trademark, excluding claims arising from your content or from combinations not provided by DataHubz.
16. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict of law rules. The state and federal courts located in El Paso County, Colorado have exclusive jurisdiction, and each party consents to that jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
17. Changes to these Terms
DataHubz may update these Terms by posting a new version at https://sotialmedia.com/legal/terms and notifying organization owners by email at least 30 days before material changes take effect. Continued use after the effective date is acceptance. If you do not agree, you may terminate before the effective date.
18. General
These Terms, the policies they reference and any order form are the entire agreement between the parties on this subject. If a provision is unenforceable, the rest remains in effect. Neither party may assign these Terms without consent, except to a successor in a merger or sale of substantially all assets. Notices to DataHubz go to support@sotialmedia.com; notices to you go to the organization owner's email address.
